Terms and Conditions

Rules governing use of the Dukiani platform by all users

These Terms and Conditions govern your access to and use of the Dukiani platform, website (www.dukiani.com), mobile application, and all related services. Dukiani is a product of Dukiani Digital Services Ltd (RC 9700361), Mulliner Towers, 39 Alfred Rewane Road, Ikoyi, Lagos 101233. By registering or using the Platform in any way, you agree to be bound by these Terms.

1. Definitions

TermDefinition
"Platform"The Dukiani website, web application, mobile application, APIs, and all related tools and services.
"User"Any person who registers for or accesses the Platform, including Landlords, Tenants, Agents, and Vendors.
"Landlord"A User who lists, manages, or seeks tenants for one or more properties through the Platform.
"Tenant"A User who searches for, applies for, or occupies a property listed on the Platform.
"Agent"A licensed or unlicensed estate agent who lists properties or facilitates transactions on the Platform.
"Vendor"A maintenance service provider (individual or business) registered on the Platform to receive and complete Maintenance Job assignments from Landlords.
"Technician"An individual worker employed or engaged by a Vendor to carry out maintenance work at a property.
"Maintenance Job"A maintenance or repair task created on the Platform and assigned to a Vendor through the maintenance management system.
"Vendor Commission"The 10% platform fee charged by Dukiani on each completed and approved Maintenance Job, automatically deducted from the Vendor's payout via the payment gateway's split payment mechanism.
"Listing"A property advertisement published on the Platform by a Landlord or Agent.
"Convenience Fee"The NGN 1,500 service fee charged to Tenants per annual rent payment processed through the Platform.
"Success Fee"The commission charged to Agents upon successful completion of a lease through the Platform.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into binding agreements under Nigerian law;
  • Provide accurate, complete, and current information during registration;
  • Not have been previously suspended or removed from the Platform.

3. Account Registration and Security

3.1 You must register an account to access most features of the Platform. You agree to provide truthful, accurate, and complete information and to keep this information updated.

3.2 You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify Dukiani immediately at hello@dukiani.com if you suspect any unauthorised access.

3.3 Dukiani will not be liable for any loss arising from your failure to protect your account credentials. You may not share your account with any other person.

3.4 Each User may only maintain one active account per role (Landlord, Tenant, Agent, or Vendor). Creating duplicate accounts is prohibited.

4. User Roles and Obligations

4.1 All Users

  • Use the Platform only for lawful purposes and in accordance with these Terms;
  • Treat all other Users with respect and refrain from harassment or threatening behaviour;
  • Not submit false, misleading, or fraudulent information or content;
  • Not attempt to reverse engineer, hack, or disrupt the Platform;
  • Comply with all applicable Nigerian laws including CAMA 2020, NDPA 2023, and applicable legislation.

4.2 Landlords

  • Ensure all property information submitted is accurate and not misleading;
  • Have the legal right to let, manage, or list the property in question;
  • Connect a valid Nigerian bank account via Paystack to receive rent payments directly;
  • Not instruct or encourage Tenants to make rent payments outside the Platform to circumvent fees.

4.3 Tenants

  • Provide accurate personal, employment, and guarantor information when requested;
  • Pay rent through the Platform where the Landlord has enabled digital rent collection;
  • Not damage or misuse properties accessed through listings on the Platform;
  • Report maintenance issues promptly through the Platform maintenance request system.

4.4 Agents

  • Only list properties for which they have written or verbal authorisation from the Landlord;
  • Ensure all listing photographs meet the Dukiani Photo Standard (minimum 3 landscape photos, 800×500 pixels minimum);
  • Pay the applicable Agent Success Fee upon successful completion of a lease through the Platform;
  • Not advertise properties that are already let, sold, or otherwise unavailable.

4.5 Vendors

  • Accept and complete Maintenance Jobs within the agreed timeframe and to a professional standard;
  • Ensure that all Technicians engaged to carry out work are suitably qualified and hold any certifications required for the work category under Nigerian law;
  • Provide accurate, itemised cost estimates before commencing work where requested by the Landlord;
  • Update Maintenance Job status on the Platform at each stage: accepted, in-progress, and completed;
  • Not solicit Landlords or Tenants for future work outside the Platform in respect of any job first introduced through the Platform;
  • Maintain appropriate public liability and professional indemnity insurance for the services they offer.

5. Fees and Payments

5.1 Subscription Fees. Landlords and Agents on paid subscription tiers are charged the applicable monthly or annual fee. All fees are in NGN. Founding Landlord pricing is locked at the rate agreed at onboarding.

5.2 Convenience Fee. A flat NGN 1,500 fee is charged to Tenants per annual rent payment processed through the Platform.

5.3 Agent Success Fee. Upon successful completion of a lease through the Platform, Agents are charged a success fee of 3%–5% of the commission earned by the Agent on that lease.

5.4 Vendor Commission Fee. Dukiani charges a 10% commission on each completed and approved Maintenance Job. This fee is deducted automatically at the point of payout via the payment gateway's split payment mechanism. The payer (Landlord or Tenant, depending on the agreed workflow) pays the full job amount through the Platform. The payment gateway simultaneously settles 90% of the job amount directly to the Vendor's registered payout account and 10% to Dukiani as a platform commission. Dukiani does not hold, store, or retain custody of funds at any point — the split is executed by the payment gateway at settlement. The gateway processing fee is borne by the payer and is separate from Dukiani's commission.

5.5 Payment Processing. All subscription, convenience, and success fee payments are processed through Paystack, a CBN-licensed PSSP. Dukiani does not hold rent principal at any point.

5.6 Refunds. Subscription fees are non-refundable after 24 hours of payment. Convenience fees are non-refundable once a rent payment has been successfully processed.

5.7 Viewing Fee. A flat NGN 2,000 fee is charged to Tenants to schedule a property viewing through the Platform, payable before the viewing is confirmed. Of this fee, NGN 1,800 (90%) is paid to the listing Agent and NGN 200 (10%) is retained by Dukiani, split automatically via the payment gateway at the point of payment. The Viewing Fee is separate from, and not credited against, the Convenience Fee described in clause 5.2.

5.8 Late Payment Fee. Landlords may set a late payment fee applicable to overdue rent, at a rate of their choosing (a default rate of 5% of the overdue amount is pre-set but may be edited by the Landlord). Where a late payment fee is charged and collected through the Platform, Dukiani retains 20% of that fee as a platform commission and the remaining 80% is paid to the Landlord. Dukiani does not set, cap, or guarantee collection of the late payment fee itself — it is a matter between Landlord and Tenant under the lease agreement, and Dukiani's 20%/80% split applies only to the portion actually collected through the Platform.

6. Content and Listings

6.1 You retain ownership of all content you submit to the Platform. By submitting content, you grant Dukiani a non-exclusive, royalty-free licence to use and display such content for the purpose of operating and promoting the Platform.

6.2 Dukiani does not guarantee the accuracy of any Listing or content submitted by Users. Landlords, Agents, and Vendors are solely responsible for the accuracy and legality of their submitted content.

6.3 Dukiani reserves the right to remove any content or Listing that violates these Terms, is fraudulent or inaccurate, fails to meet quality standards, or relates to a service or property that is no longer available.

7. Prohibited Conduct

  • Listing properties that do not exist or that the User has no authority to let;
  • Collecting fees from Tenants outside the Platform for transactions initiated through the Platform;
  • Circumventing the Agent Success Fee by directing Tenants to finalise transactions offline;
  • Vendors soliciting repeat business from Landlords or Tenants outside the Platform in respect of any job first introduced through the Platform;
  • Using the Platform to harass, defraud, or deceive other Users;
  • Uploading photographs belonging to other platforms without the owner's permission;
  • Scraping or extracting data from the Platform by automated means;
  • Impersonating another User, professional, or legal entity;
  • Using the Platform for any purpose that violates Nigerian law or international sanctions.

8. Dispute Resolution

8.1 Dukiani is a technology platform, not a party to any tenancy agreement or maintenance contract. Disputes between Landlords, Tenants, Agents, and Vendors are the responsibility of the parties involved.

8.2 Dukiani may, at its sole discretion, provide documentation, records, or job history evidence to assist parties in resolving disputes. This does not constitute legal advice.

8.3 These Terms are governed by the laws of the Federal Republic of Nigeria. Any unresolved dispute shall be referred to the courts of Lagos State, Nigeria.

9. Limitation of Liability

9.1 To the maximum extent permitted by Nigerian law, Dukiani shall not be liable for any loss or damage arising from your use of the Platform, any transaction between Users, the quality of maintenance work carried out by any Vendor, or the accuracy of any Listing.

9.2 Dukiani's total aggregate liability shall not exceed the total fees paid by you to Dukiani in the 12 months preceding the claim.

10. Termination

10.1 You may close your account at any time by contacting hello@dukiani.com.

10.2 Dukiani may suspend or terminate your account, with or without notice, if you violate these Terms, engage in fraudulent activity, or if required by law.

11. Amendments

Dukiani may amend these Terms at any time. Updated Terms will be published with a revised effective date. For material changes, at least 14 days' notice will be provided via email or in-platform notification.
